Role & Responsibilities
- Lead and coordinate M&A projects in collaboration with finance, real estate, and innovation teams, ensuring operational follow-through.
- Participate in structuring and developing projects alongside finance and tax departments, analyzing legal aspects.
- Conduct and oversee audit processes in conjunction with external advisors, including legal, financial, and accounting consultants.
- Draft and review comprehensive contractual documentation, such as confidentiality agreements, letters of intent, term sheets, and shareholder agreements, with external legal support.
- Engage in negotiations and manage signing, closing, and post-closing operations.
- Oversee and manage liability guarantees and supervise external legal counsel services.
- Conduct legal monitoring on contractual and M&A matters.
Qualifications
- Master II in Business Law/DJCE and the Certificate of Aptitude for the Legal Profession.
- 7 to 10 years of experience in M&A and private equity, primarily within an international law firm.
